Lawyers Corner: Registration of a Company for your Clients. Step-by-Step guide with pictures.

The Corporate Affairs Commission has really simplified the process  of company registration and integrated it with digital technology. However, due to the legal implications involved, it is advisable to contact your lawyer to handle the process. 

The process can be summarized as follows:

Step one: visit cac.gov.ng you would see a page like this (disregard any certificate warning).


Step two: click on name search and you would be taken to a page like this.

Step three: search for your proposed name to see if it has already been taken. If it has not been taken, go back to www.cac.gov.ng.

Step four: when you are on the site www.cac.gov.ng, click on online registration and you would be redirected to a page like this

Step five: look at the top right corner and click “login” (if you already have an account) or “register” (if you dont have an account and wish to create one. For the sake of this tutorial, we are assuming this is your first try so you click “register” and you would be redirected to a page like this:

Step six: Check your email for Login(Username and Password) details and use same to login.

Step seven: After login, read the terms and condition carefully and at the bottom left of the page then
Click on “I agree” to continue.

Step eight: save your password (or enter a new one) then type a security answer

Congratulations!!! You have completed the first stage.

Now to the second stage which I would like to call the “name reservation” stage.

Before proceeding, note that you would be needing the follwing details:

  1. Details of the proposed company: including (proposed Company name, type, Object (what the company is set up to be doing e.g. transport, catering and so on).
  2. Details of the person presenting the application (which may be you or an accredited agent).

Okay! Lets proceed.

Step Nine: Click on “new name reservation” and you would be redirected to a page that looks like this:

NB: This tutorial is on registering a Company Ltd or Plc. So you may select classification as company then type as private limited liability or public limited liability. Note also that you should add Ltd or Limited to the name you choose. After filling, click on “save and continue”.

Step 10: under “reason for availability” select “new incorporation” then click “save and continue”

Step 11: the next tab is for presenter details. fill it and click “save and continue”.

Step 12: you would be taken to a page where you preview the information and after confirming that they are correct, you select “proceed to payment”.

step 13: pay N500 (Five hundred Naira plus Remitta fees) with your ATM card directly on the portal (please ensure that your internet network is steady).

Congratulations!!! (if You have successfully made payment. your application would be submitted to CAC and you should get a response from them in approximately 24 hours. Be checking your email and user dashboard.

Stage Three: This is the next important stage in the company registration process. here you would provide as much information as possible including but not limited to:

  1. The availability code / name reservation code (it is in the approval slip sent to your dashboard and informed in your email).
  2. Details of the proposed company: including (Company email, Address, Phone Number, type, Share Capital, Object (what the company is set up to be doing e.g. transport, catering and so on).
  3. Details of each of the Directors (including their First name, Surname, Date of birth, Valid means of identification (Clear Screenshot), Address, Nationality, Phone Number, Email and status.
  4. Details of each of the shareholders (including their; First name, Surname, Date of birth, Valid means of identification (Clear Screenshot), Address, Nationality, Phone Number, Email, number/Percentage of shares taken.
  5. Details of the Secretary (including; First name, Surname, Date of birth, Valid means of identification (Clear Screenshot), Address, Nationality, Phone Number, Email.

Let’s proceed shall we?

Step 14: Login to your CAC online dashboard again. (go to cac.gov.ng then select “online registration” then select “login” then input your login details and login. When you have logged in; select “reserved” or “name reservations” and you would see the name you earlier reserved which was approved.

Step 15: Click on the “approval note” button to download the approval note. Open this document and copy the availability code. Now that you have copied the availability code, lets go to the next step.

Step 16: on your CAC online dashboard, click “company registration” then “new registration”. YOu would be redirected to a page asking you to enter your availability code. put in the code you copied from the name reservation approval document earlier and click “proceed” or “next”.

Step 17: the registration proper begins. Fill in the various forms including the application form, particulars of directors and shareholders, memorandum and articles of association appropriately entering all details as required. You may consult with your lawyer where unsure.

Step 18: Pay filing fees and when successful, pay the stamp duties (you may also use your atm card directly via remitta portal). Wait for 5-10 minutes for payment to reflect. (you may refresh the page to reflect the updated status.

Step 19: when successful, you would be asked to “print documents”. For record purposes; print all the follwoing.

a. Your name reservation receipt. By going to cac.gov.ng – online registration – name reservations – my reservations – then tap on the name – then click download receipt.

b. Your registration payment receipt. by going to cac.gov.ng – online registration – company registration – my registration then tap on the name – then click download receipt.

c. Your application form CAC1.1 and memorandum & Articles of association. By going to cac.gov.ng – online registration – company registration – my registrations – then tap on teh company name and select “View documents”. Download the 2 documents (CAC 1.1 and Memorandum and Articles)

d. Your Stamp Duty Certificate. by logging to your email (the email you put when paying for the stamp duty via remitta) then search for an email from Stamp Duty Portal Open the follow the instruction there to login to the FIRS Website (i.e. go to firs.gov.ng and put in the login details given to you in the email. Once logged in, click “transactions” and print the certificate for the company’s stamp duty shown there (with date).

Step 20: Fill and sign the forms downloaded in Step 19(c). Then notarize the declaration page (usually Page three where you are asked to confirm that you complied with the law) and then go to the High Court or a Notrary Public in your area for the declaration to be sealed (it costs approximately N1,000 One thousand Naira).

Congratulations!!! you are now moving to the second to the last stage the Upload Stage.

Step 21: Print the following documents:

  • Your payment receipts (for name and registration as in 19 above)
  • Your Stamp Certificate.
  • Your Name Reservation approval. (access to the three above have been explained earler Step 19)

Step 22: Scan the follwoing onto your computer

  • Your (already filled/completed) CAC 1.1. and Memorandum & Articles (step 20’s).
  • A clear copy of the I.D Card of the Directors, Shareholders and Secretary.

Step 23 Upload the documents in steps 21 and 22 above to cac website. You can do it by going to cac.gov.ng – online registration – company registration – my registration – then select the company name – then select “view documents” then select “document upload” as seen in the figure below

Step 24: You would be redirected to a page like this

Enter the availability code (you may get it as explained in step 15). Then select the office where you would like to pick up the physical certificate of incorporation. Then fill the captcha as seen above.

Step 25: Upload the documents one by one and click submit when you are done.

Step 26: Visit the CAC office you selected and submit the original copies of the documents used in step 21 and 22 (including Form CAC1.1, MEMART, etc) in exchange for your certificate and the Certified True copies of the documents.

Yes. But it is strongly advised that a person gets a lawyer because there are various certain rudiments involved.
